Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Roof Nexus platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Roof Nexus is a cloud-based contractor management platform that provides customer relationship management (CRM), job management, estimating, invoicing, and related business tools for roofing companies and contractors. The Service is provided on a subscription basis.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to your account
• Ensuring that your account information remains accurate and up-to-date

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered under various subscription plans as described on our pricing page. Subscription fees are based on the number of users and features selected.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. All fees are non-refundable except as expressly provided in these Terms.

4.3 Price Changes

We reserve the right to modify subscription fees upon 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice.

5. Your Data

5.1 Ownership

You retain all rights to data you input into the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Use

You grant Roof Nexus a limited license to use, store, and process Your Data solely for the purpose of providing the Service to you.

5.3 Data Security

We implement industry-standard security measures to protect Your Data. However, no method of electronic storage or transmission is 100% secure. You are responsible for maintaining appropriate backups of Your Data.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity

7. Intellectual Property

The Service, including its software, design, graphics, and content (excluding Your Data), is owned by Roof Nexus and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8. Third-Party Services

The Service may integrate with third-party services (such as QuickBooks, email providers, and payment processors). Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the actions or omissions of third-party service providers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOF NEXUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless Roof Nexus and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Term and Termination

12.1 Term

These Terms are effective from the date you first access or use the Service and continue until terminated.

12.2 Termination by You

You may terminate your account at any time through the account settings or by contacting support. Upon termination, your right to use the Service will immediately cease.

12.3 Termination by Us

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason, with or without notice.

12.4 Effect of Termination

Upon termination, your account and data will be retained for 90 days, during which you may export your data. After 90 days, your data will be permanently deleted.

13. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Austin, Texas.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Roof Nexus regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our prior written consent.
